01. Acceptance of Terms

By using Org Connect, you confirm that:

• You are at least 18 years old or have the legal capacity to enter into this agreement.
• You have the authority to use the app on behalf of your employer (if applicable).
• You agree to comply with these Terms and all applicable laws and regulations.

02. Description of Service

OrgConnect is a proprietary service offered by ICP Techno LLC. This Agreement governs your use of the service, whether accessed via an internet browser, smartphone, tablet, or other internet-connected devices. This license does not permit you to:

• Copy, modify, or distribute the app or its content.
• Reverse engineer, decompile, or disassemble the app.
• Use the app for any illegal or unauthorized purpose.

03. User Responsibilities

By signing up for OrgConnect, you confirm that:

• Maintain the confidentiality of your login credentials and notify us immediately of any unauthorized access.
• Use the app only for lawful purposes and in compliance with your employer’s policies.
• Refrain from uploading or sharing any content that is harmful, offensive, or violates intellectual property rights.
• You are authorized to represent the legal entity under which the customer operates.
• You accept the terms of this Agreement on behalf of such legal entity and its affiliates.
• Any references to “you” in this Agreement refer to such legal entity, its affiliates, and all employees, consultants, and agents of those respective parties.

You are responsible for all activity on the service that occurs under your account.

04. Employer Responsibilities

If you are an employer using Org Connect to manage employee data, you agree to:

• Obtain necessary consent from employees before collecting or processing their personal data.
• Ensure that all data entered into the app is accurate and up-to-date.
• Comply with applicable data protection laws (e.g., GDPR, CCPA) and provide employees with access to their data as required.

05. Intellectual Property

All intellectual property rights in Org Connect, including but not limited to the app’s design, features, and content, are owned by ICP Technologies. You may not use, reproduce, or distribute any part of the app without our prior written consent.

06. Service Scope

OrgConnect may include additional services that you subscribe to receive directly from or through ICP Techno LLC (“Additional Services”). Some of these Additional Services have specific additional terms that apply to your use of those Additional Services (“Additional Terms”). In the event an Additional Term directly conflicts with any term in this Agreement, the Additional Term will apply to your use of the Additional Services.

07. Data Privacy

Your use of Org Connect is subject to our Privacy Policy, which explains how we collect, use, and protect your personal information. By using the app, you consent to the practices described in the Privacy Policy.

08. Prohibited Activities

You may not:

• Use the app to harass, defame, or harm others.
• Attempt to gain unauthorized access to the app, its servers, or networks.
• Use automated tools (e.g., bots, scrapers) to interact with the app.
• Share or distribute sensitive information obtained through the app without authorization.

09. Term and Termination

9.1 Term

This Agreement will remain in effect for as long as you have an active subscription for the service or, if you use the service for a free trial period, until the end of such period.

9.2 Start Date and Renewal

Subscriptions commence on the start date specified when you complete the initial payment process and continue until terminated. Subscriptions automatically renew unless you cancel them as described in Section 5.3.

9.3 Cancellation

You may cancel your subscription at any time by following the instructions provided in your account settings. Upon cancellation, you will retain access to the service until the end of your current billing period.

10. Modifications to Service

ICP Techno LLC reserves the right to modify or discontinue, temporarily or permanently, the service (or any part thereof) with or without notice. You agree that ICP Techno LLC shall not be liable to you or to any third party for any modification, suspension, or discontinuance of the service.

11. Disclaimers

Org Connect is provided "as is" and "as available," without warranties of any kind, either express or implied. We do not guarantee that:

• The app will be error-free or uninterrupted.
• The app will meet your specific requirements.
• Use automated tools (e.g., bots, scrapers) to interact with the app.
• The data provided through the app will always be accurate or up-to-date.

12. Limitation of Liability

To the fullest extent permitted by law, ICP Technologies and its affiliates shall not be liable for any indirect, incidental, special, or consequential damages arising out of or related to your use of Org Connect, including but not limited to:

• Loss of data or profits.
• Interruptions in service.
• Unauthorized access to your account.

13. Indemnification

You agree to indemnify and hold harmless ICP Technologies, its affiliates, and their respective officers, directors, and employees from any claims, damages, or losses arising out of:

• Your use of Org Connect.
• Your violation of these Terms.
• Your infringement of any third-party rights.

14. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of [Your Jurisdiction], without regard to its conflict of law principles.

15. Changes to These Terms

We reserve the right to update or modify these Terms at any time. We will notify you of significant changes through the app or via email. Your continued use of Org Connect after such changes constitutes acceptance of the updated Terms.
